Setting up a representative office in Thailand is one of company type in Thailand. It is a non-trading entity, which means it can’t earn any income, and is supported by the head office in another country.

在泰國設立代表處也是一種公司型態。此為非貿易企業，即不能有收入，並由在國外的母公司支援。

Following are characteristics of a representative office in Thailand:

以下為泰國代表處的特點:

Ø The operating expense is paid by the head office;

營運費用由總公司支付;

Ø Doesn’t earn income from its service;

不能藉由提供的服務產生收入;

Ø Can’t receive purchase order or make sales;

不能接收訂單或買賣;

Ø Isn’t required to pay corporate income tax.

不需支付企業所得稅。

To register a representative office in Thailand, you will need:

在泰國設立辦公室需要:

Ø An application form;

申請書;

Ø Copy of the company affidavit;

公司宣誓書影本;

Ø Copy of a passport of the representative and a non-immigrant visa or an entry visa stamp;

代表處負責人的護照影印本及非移民簽證或入境章證明;

Ø Power of Attorney of the representative of the office

代表處負責人的委託書

All documents should be notarized and certified by Thai embassy.

In addition, there are some business activities that a representative isn’t allowed to conduct, such as:

Ø Checking and controlling the quality and quantity of goods for companies that are not the head office or its affiliated companies;

Ø Providing advice on goods that are not produced or sold by the head office or its affiliated companies;

針對非總公司或相關企業生產或售出的商品提供意見;

Ø Giving advice on products that are produced by unaffiliated companies;

向非相關企業的產品提供意見;

Ø Producing business reports to unaffiliated companies;

向非相關企業提供企業報告;

Ø Providing after-sale service about installation and maintenance.
